Doopsy® Wholesale / Retailers Information

If you have any questions about our retailer program, after reading the wholesale information, please contact us and we will be more than glad to answer them. Our products are sold through online baby stores and specialty children´s boutique stores.

WHOLESALE POLICIES & TERMS:
The following information outlines our Wholesale Policies, Terms and Conditions. By applying to become an authorized Doopsy products retailer, you are stating that you have read and agreed to abide by these policies.

RETAILER REQUIREMENTS:
Retailers must maintain a licensed retail outlet with an established brick & mortar retail store and/or through an established, independent website selling baby or environmentally-friendly products and/or through a licensed and established diaper service.
Retailers must observe all laws and regulations and meet all standards set by any federal, state, local, or other governmental authority or entity regulating or pertaining to the business of the retailers, including collecting all required sales taxes; reporting and remitting all sales taxes to the proper authorities; and filing all required sales tax returns. Before accepting any orders from a retailer, Doopsy®, LLC must receive from the retailer a copy of the state or local license showing that the retailer is authorized to do business and a certificate demonstrating that the retailer is exempt from the state sales tax in its state, as a reseller. ORDERING, LEAD TIMES ON ORDERS & PAYMENT:
Orders may be placed through our website, email or fax.
We generally try to ship orders within 3 business days, for in-stock orders. If you require bigger quantities than what we normally carry in stock, please call us and we can make arrangements to accommodate your request. All orders must be paid in full prior to shipping. We do not offer terms or payment discounts.

MINIMUM ORDER REQUIREMENT:
Our initial minimum order requirement is $150. Orders thereafter do not need to meet any minimum order requirement.

SAMPLES:
Once approved as a retailer, you may place one order for one Doopsy® product sample. You may place this order prior to the initial opening order.

SHIPPING
All orders are shipped via UPS or USPS unless other arrangements are made. All packages are assigned with tracking numbers.

DROP-SHIPPING:
We understand the value of drop shipping, especially in a soft economy. After the initial order is met, we are happy to do drop shipping for our retailers. There is a $2 drop shipping charge for drop ship orders under $100, in addition to the regular (UPS, USPS) shipping rates. Packing slips without prices are sent with the orders and tracking numbers will be sent to the retailer.

MINIMUM PRICING:
Suggested minimum retail prices have been specified on our price list. We would like to see the retailers follow our price guidelines but at the same time we strongly believe that each company has their own business approach that should be respected. We do allow special sales and promotions to be advertised by retailers, as long as we are notified of such sales. In addition we will provide retailers with incentives to promote our products.

TRADEMARKS RIGHTS:
By submitting orders to Doopsy®, LLC and/or JSA Invest, LLC, the retailers must acknowledge that JSA Invest, LLC is the owner of the Doopsy® Trademark, which is distinctive and associated with the Doopsy®, LLC products. The retailers also acknowledge that they will not adopt, use, or attempt to register any mark or name that is a colorable imitation of, or confusingly similar to the Doopsy®, LLC and JSA Invest, LLC Trademarks and that they will not challenge or contest the company's ownership of the trademarks. Retailers found to be using the Doopsy® Trademark in any URL or business name will be terminated from doing business with Doopsy®, LLC and/or JSA Invest, LLC.

RETURNS, EXCHANGES & WARRANTY ISSUES:
All products are guaranteed against manufacturing defects for 90 days from the date of purchase. This covers stitching and seams. We stand behind our products and have standard procedures for dealing with manufacturing defects, but we do not issue credit or replacements for products that are returned due to stains, leaks, improper care, or when worn out. If you have returns or exchanges due to product defect, we will either replace the item or issue credit for the cost of the item towards your next order. Defective items must be returned in order to get the replacement or credit. Please keep in mind that you are responsible for your customers returns, not related to product defects.

RELATIONSHIP: Retailers have independent control over the operation of their businesses and no partnership, joint venture, or franchise relationship exists between the Doopsy®, LLC and JSA Invest, LLC and its retailers.

OTHER IMPORTANT RESALE POLICIES: Doopsy® products must be resold as is, with no alterations. Retailer's accounts are not transferable to any third party. In the case of business sale, the new owner will be expected to apply for a new wholesale account. CHANGES OF THE POLICY:
Doopsy®, LLC / JSA Invest, LLC may modify this Policy at any time.

TERMINATION: Either Doopsy®, LLC and JSA Invest, LLC or a retailer may terminate the relationship between them at any time.
